These Terms & Conditions govern the supply of goods by International Engineering Suppliers Ltd (“IES”, “we”, “us” or “our”) to business customers (“Customer”, “you”).
By placing an order with IES, you agree to be bound by these Terms.
These Terms apply to business-to-business transactions only.
2.1 All quotations are provided without obligation and are valid for the period stated on the quotation.
2.2 An order is not accepted until confirmed in writing by IES or upon dispatch of goods.
2.3 We reserve the right to refuse or cancel orders at our discretion prior to acceptance.
3.1 Prices are quoted exclusive of VAT and delivery unless otherwise stated.
3.2 VAT will be charged at the applicable rate.
3.3 We reserve the right to adjust prices prior to order confirmation in the event of supplier cost increases or currency fluctuations.
4.1 Payment terms will be stated on the invoice or quotation.
4.2 Unless otherwise agreed in writing, payment is due within 30 days of invoice date.
4.3 Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4.4 We reserve the right to suspend supply if payment terms are not met.
5.1 Delivery dates are estimates and not guaranteed.
5.2 IES shall not be liable for delays caused by third-party carriers, customs processes or events outside our reasonable control.
5.3 Risk in goods passes to the Customer upon delivery.
5.4 The Customer is responsible for inspecting goods upon receipt and notifying us of any issues within 5 working days.
6.1 Title to goods remains with IES until full payment has been received.
6.2 Until title passes, the Customer must store goods separately and clearly identify them as IES property.
7.1 Customers are responsible for ensuring that products are suitable for their intended application.
7.2 PPE products may meet recognised standards (e.g. EN, ISO, ANSI) where applicable; documentation can be provided upon request.
7.3 IES does not provide technical engineering advice unless expressly agreed in writing.
8.1 Returns will only be accepted with prior written agreement.
8.2 Special-order or customised goods may not be returnable.
8.3 Claims for damage or shortages must be reported within 5 working days of delivery.
8.4 Approved returns may be subject to a restocking charge.
9.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded.
9.2 Subject to clause 9.1, IES shall not be liable for:
-Loss of profits
-Loss of business
-Indirect or consequential losses
9.3 Our total liability shall not exceed the value of the goods supplied under the relevant contract.
IES shall not be liable for failure or delay in performing obligations due to events beyond our reasonable control, including but not limited to:
-Natural disasters
-War or civil unrest
-Government restrictions
-Supply chain disruptions
-Transport interruptions
All website content, branding, product descriptions and materials remain the intellectual property of IES unless otherwise stated.
Both parties agree to treat commercial information exchanged during the supply process as confidential unless disclosure is required by law.
Personal data will be processed in accordance with our Privacy Policy and applicable data protection legislation.
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
IES reserves the right to update these Terms at any time. The latest version will be available on this website.
